Man Fung has completed his two-year traineeship with Dentons' Hong Kong office and has recently been admitted to practice in Hong Kong.

He began his training contract with the General Corporate team, where he developed a strong foundation in corporate regulatory and transactional work. For his second seat, he joined the Equity and Capital Markets team, gaining experience in IPOs, mergers and acquisitions, and listed company compliance matters. He has completed his third and fourth seats in arbitration and commercial litigation within the Dispute Resolution team.

Man Fung graduated from the University of Hong Kong in 2021 with a Bachelor of Business Administration (Law) and a Bachelor of Laws, both awarded with first class honours. He subsequently obtained his Postgraduate Certificate in Laws from the same university in 2022.

Capital Markets

  • Intercont (Cayman) Limited: Advising Kingswood Capital Partners, LLC as the lead underwriter in the US$10.5 million initial offering on the listing of Intercont (Cayman) Limited on the NASDAQ Capital Market.
  • EDA Group Holdings Limited (SEHK: 02505) and China Lesso Group Holdings Ltd. (SEHK: 02128): Advising EDA Group Holdings Limited, a one-stop end-to-end supply chain solutions provider for e-commerce vendors, on its spin-off and separate listing from China Lesso Group Holdings Ltd., and the global offering of its shares on the Main Board of the Hong Kong Stock Exchange. The offering raised a gross proceed of approximately HK$222.6 million. Also advising China Lesso Group Holdings Ltd. in its PN15 application for EDA's spin-off in the transaction.
  • XXF Group Holdings Limited (SEHK: 02473): Advising the client as Hong Kong legal counsel on the global offering of its shares on the Main Board of the Hong Kong Stock Exchange. The offering raised a gross proceed of approximately HK$113 million. XXF Group Holdings Limited is an established automobile retailer providing automobile finance lease service primarily through its self-operated sales outlets in the PRC.
  • Wanguo Gold Group Limited (SEHK: 03939): Advising the client on its allotment and issuance of new shares to a subsidiary of Zijin Mining Group Co., Ltd. for a total consideration of approximately HK$1.38 billion.
  • Sanergy Group Limited (SEHK:02459): Advising on its two rounds of placing of existing shares by China Sunrise Securities (International) Limited, as the placing agent, and a top-up subscription of new shares by the single largest shareholder. The two rounds of placing and subscription raised a gross amount of approximately HK$47.45 million.

Mergers and Acquisitions

  • Singapore's leading security services provider: Advising client on the disposal of the entire issued share capital of two Hong Kong subsidiaries and one Macau subsidiary engaging in the business of providing security services from manpower to security consultation and technology.
  • CTF Services Limited (SEHK:659): Advising on its acquisition (through its indirectly wholly owned subsidiary) of 43.93% interest in uSmart Inlet Group Limited, a company principally engaging in the sectors of securities brokerage and financial technology software development and application, at a total consideration of more than US$131 million.
  • Owner of the Hong Kong's largest hardware and building materials supply company: Advising client on the approximately HK$500 million disposal of the entire issued share capital of Hong Kong's largest hardware and building materials supply company and a waterproof system service provider to a PRC corporation which is listed on the Shenzhen Stock Exchange. This matter represents the strategic integration of market-leading entities in PRC's and Hong Kong's building materials and waterproofing sector. This deal is also considered by the purchaser to be a cornerstone in its strategy to expand its business beyond PRC and globally.
  • EC Healthcare (SEHK: 2138): Advising the client on its acquisition of 90% equity interest in Rising Gold Phoenix Limited for a total consideration of HK$52.5 million.
  • EC Healthcare (SEHK: 2138): Providing legal services in relation to a very substantial disposal to the AIA Group.
  • Samson Holding Ltd. (SEHK: 00531): Advising the offeror, Glory Mount (HK) Limited and offeree, Samson Holding Ltd. in the proposed privatisation by way of a scheme of arrangement.
  • New World Department Company Limited (SEHK: 00017): Advising on the disposal of the Hip Seng Group and the entering into of a master construction services agreement to regulate and streamline the continuing connected transactions between members of New World Development Company Limited and members of the Hip Seng Group and other connected persons after the disposal. Providing legal services in relation to certain connected transactions.

Debt Markets

  • Shandong Quanhui Industrial Development Co., Ltd.: Advising as issuer's international counsel on multiple successful offerings (including further issues) by Shandong Quanhui Industrial Development Co., Ltd. in an aggregated amount of CNY2.2 billion bonds due between 2027 and 2028, which either had the benefit of an irrevocable standby letter of credit, or were unconditionally and irrevocably guaranteed by the issuer’s parent company, Jinan Zhangqiu Holding Group Co., Ltd. or a third-party professional guarantee service provider. Shandong Quanhui Industrial Development Co., Ltd. has its business operations primarily conducted in Zhangqiu District of Jinan City, Shandong Province and the group’s business consists of four major segments, namely, products sales, hotel and catering, property management and surveying and design. The issuer's parent, Jinan Zhangqiu Holding Group Co., Ltd., is a state-owned enterprise in the PRC with its business operations primarily conducted in Zhangqiu District of Jinan City, Shandong Province and the group’s business consists of five major segments, namely, infrastructure construction, hotel operation, commodities trading, tourism and investment business. The bonds were all listed on the Chongwa (Macao) Financial Asset Exchange Co., Ltd. The joint lead managers of these multiple offerings (including further issues) include China Credit International Securities, Haitong International, Pulun International, Shanghai Pudong Development Bank Hong Kong Branch, China CITIC Bank International, Huatai International, Shenwan Hongyuan (H.K.), Cathay Securities (HK), Tung Yat Securities Limited, Orient Securities Limited, Fortune (HK) Securities Limited, Silverbricks Securities Company Limited, China Industrial Securities International, CMBC Capital, Shun Heng Securities, Marlin Capital Limited, Innovax Securities Limited, Alpine Securities, TF International, Yuan Tong Global Securities, Emperor Securities, Head & Shoulders Securities, Far East Horizon International, Sino Partner Capital Limited, Profit Access, Zhongtai International, Golden Rich Securities, Sigma Capital, Shanggu Asset Management (Asia) Limited and Gee Hi International Securities (Hong Kong) Limited.
