Emily Chow is a managing associate in Dentons' Hong Kong office, and a member of the firm's Corporate Department.

Emily's practice focuses on real estate transactions and property-related matters. She acted for property developers and high-net-worth private clients in extensive disposals and acquisitions of residential and non-residential properties, shops and car parking/motor vehicle spaces by way of share and asset deals, due diligence on title and encumbrances, land resumption, land compulsory sale for redevelopment applications, sale and purchase of first-hand residential and commercial development projects, formation of joint ventures and applications for stamp duty relief.

She also has experience in representing landlords and tenants in large-scale project leasing and renting of residential properties and commercial complexes in undeveloped and developed sites, and advised incorporated owners on a tender sale.

Prior to joining Dentons, Emily was an associate in a PRC law firm and a UK law firm.

Acquisitions and disposals

  • Owner of the Hong Kong's largest hardware and building materials supply company: Advising client on the approximately HK$ 500 million disposal of the entire issued share capital of Hong Kong's largest hardware and building materials supply company and a waterproof system service provider to a PRC corporation which is listed on the Shenzhen Stock Exchange. This matter represents the strategic integration of market-leading entities in PRC‘s and Hong Kong’s building materials and waterproofing sector. This deal is also considered by the purchaser to be a cornerstone in its strategy to expand its business beyond PRC and globally.
  • An ultra high net worth private client: Advising on the HK$210 million acquisition of a single multi-story townhouse together with a terrace, garden and 2 car parking spaces with a gross floor area of over 4,000 square feet situated on No.36 Repulse Bay Road, Hong Kong.
  • Zhansheng Network Technology Co., Limited, a subsidiary of a leading interactive entertainment and gaming platform in China: Advising on the HK$1.05 billion acquisition of a single multi-storey townhouse with a gross floor area of 16,700 square feet situated on No.28 Peak Road in Mid-Levels, Hong Kong. This transaction marks the largest sale and purchase of a single townhouse for the year 2024 in Hong Kong.
  • A Hong Kong listed property developer: Advising client as vendor on the sale of its HK$655 million mortgage portfolio to purchasers funded by a global institutional alternative investment management firm.
  • A leading listed property developer in Hong Kong: Handling acquisitions and disposals by way of asset deal of over 150 properties in a newly developed mixed use complex in Tseung Kwan O.
  • A leading listed property developer in Hong Kong: Handling transfer of certain sections and portions of land in Demarcation District No.206 in Sha Tin between its subsidiaries.
  • A leading listed property developer in Hong Kong: Handling a HK$350 million disposal of a company holding 2 unsold commercial developments, 4 unsold duplex flats, and unsold 199 parking spaces in a residential development in Ma On Shan, Sha Tin, New Territories.
  • A leading listed property developer in Hong Kong: Handling a HK$200 million disposal of a group of companies holding a number of shop units in Tsim Sha Tsui.
  • High-net-worth private clients: Handling acquisitions and disposals by way of share deals of residential properties in the Mid-levels, Happy Valley, Deep Water Bay and Ho Man Tin, and tender sale of all apartments and car parking spaces in residential buildings in Tai Tam.
  • A PRC-based property investment group: Handling a HK$3 billion acquisition of 2 companies holding a hotel and 41 car parking spaces in Wan Chai.
  • A private investor: Handling the acquisition of 75% shares of a BVI company holding 3 sections and portions of adjoining land in Sai Kung.
  • A university in Hong Kong: Providing legal advice on the feasibility of acquiring of a co-living space in Tai Kok Tsui and a hotel in Tsuen Wan for use as student hostel and accommodation.

Development, Joint Venture & Redevelopment projects

  • A leading listed property developer in Hong Kong: Handling due diligence on title and encumbrances and land compulsory sale applications of units in old buildings, pre-sale and purchase of first-hand redeveloped residential and commercial projects in the Mid-levels, Tai Kok Tsui and Jordan.
  • A leading listed property developer in Hong Kong: Handling a 11 billion joint venture holding 73,890 square feet of office units and 30 car parking spaces in a Grade A office building in Lai Chi Kok through the disposal of 60% shares of the holding company.

Financing

  • KGI Bank Co., Ltd., a leading Taiwanese bank and investment institution: Advising client in connection with HKD 385 million real estate financing (combined with both senior and mezzanine debts) of a mixed-use building, Weave Studios Prince Edward located at No.36 Boundary Street in Prince Edward, Kowloon, Hong Kong.
  • KGI Bank Co., Ltd., a leading Taiwanese bank and investment institution: Advising client in handling the mortgage and liquidity refinancing of part of the ground, first and second floors of a commercial property located in Sai Ying Pun, Hong Kong for a loan in the amount of HK$253 million and handling the remortgage and reassignment of rental of whole or partial floors of storage units located in Tsuen Wan, Shatin and Cheung Sha Wan for a loan in the amount of HK$560 million.
  • United Overseas Bank Limited & Fubon Bank (Hong Kong) Limited, leading Singaporean and Taiwanese banks: Handling the remortgage, reassignment of rental and guarantee of over 20 units on No.33 Hung To Road and No.145 Wai Yip Street, Kwun Tong for a loan in the amount of HK$34 million.
  • A real estate investor: Advising client regarding the refinancing of its mortgage of over 20 office units in Kwun Tong, Hong Kong and the assignment of rental income to secure repayment.

Leasing projects

  • A leading listed property developer in Hong Kong: Handling leasing of residential units, offices and shops in uncompleted and completed buildings in the Mid-levels, Happy Valley, Tsim Sha Tsui, Kwun Tong, Tseung Kwan O, Prince Edward, Yuen Long, Ma On Shan and San Po Kong.
  • An operator of the largest indoor bouldering gym and multi-sports centre in Hong Kong: Advising client in relation to the renting of approximately 10,000 square feet of gross floor area in a newly developed mixed-use commercial complex in Quarry Bay and 8,000 square feet of gross floor area in an office complex in Chek Lap Kok.
  • A PRC-based e-commerce company: Handling renting of storage facility in a logistics centre in Tsing Yi.
  • A PRC conglomerate's branch office in Hong Kong: Handling renting of additional office units in an office building in Sheung Wan.
  • A franchisee of well-known tea manufacturer from Thailand: Handling renting of additional ground-floor shop in Tsim Sha Tsui.
  • A multinational consultancy company: Handling renting of office units for use as co-working spaces in Central.
  • A university in Hong Kong: Providing legal advice on the feasibility of sub-licensing of a co-living space in San Po Kong for use as student hostel and accommodation.

Property-related matters

  • A leading listed property developer in Hong Kong: Handling Government's resumption of over 80 plots of land in the New Territories.
  • A financial institution in Hong Kong: Handling institution of mortgagee actions against defaulting mortgagors and guarantors and recovery of possession of the mortgaged properties in Sai Ying Pun, Ho Man Tin, Sham Shui Po and Kwu Tung.
  • An ultra-high-net-worth private client: Handling application for stamp duty relief in connection with the conveyances of residential properties from a Hong Kong company which has gone into voluntary liquidation to the sole shareholder of the said company.
  • Incorporated Owners: Providing legal advice on a dispute over car parking spaces ownership and encroachment of common parts by a majority car parking spaces owner in residential buildings in the Mid-levels.
