Linda Ngan is a Counsel with Dentons. She focuses on China and Asian projects and investments in the commercial and finance areas. She is also a notary public, China-appointed attesting officer and civil celebrant in Hong Kong.

Linda has extensive experience in M&A, due diligence and direct investments, spanning a variety of industries in Hong Kong and mainland China. Linda has helped Chinese clients successfully launch IPOs on overseas stock markets. She also acts for factoring companies, banks and borrowers on general asset-back financing, commercial and structured syndicate borrowings, as well as liquidation and debt restructurings in Hong Kong, Macau and mainland China.


  • Advising listed and non-listed companies on general commercial matters, including employment, share option schemes, corporate re-structuring, joint ventures, distribution agreements and license agreements.
  • Acting for investors on private equity fund incorporation.
  • Advising for overseas institutional investors and private equity funds on cross-border acquisitions in China, these industries include educations, (debt-service intermediary, telecommunications and technology-related businesses, land development and hospitality projects.
  • Advising Chinese clients on successfully launching and first couple of China businesses' IPOs on the Frankfurt stock exchange.
  • Advising clients on successfully listing on Euronext and KOSDAQ.
  • Advising NGOs on the set-up of group structure as well as on negotiation and drafting of commercial and land related contracts in Hong Kong and China.
  • Advising factoring companies on acquisition of money-lender license and/or drafting of English and Chinese factoring documentation.
  • Acting for companies and lenders in some major cross-border restructurings in Hong Kong, Macau and mainland China, including the restructuring of two corporate groups designated by Chinese government as Fuzhou and Zhuhai’s overseas investment vehicles.
  • Acting for a major Chinese bank in the liquidation of a corporate group designated by Chinese government as overseas investment vehicle in Guangdong, and acting for a syndicate of banks in the restructuring of a Hong Kong major construction company.
