James Wong is an of Counsel in Dentons’ Hong Kong office. He specializes in banking, structured finance, insolvency, debt restructuring, mergers and acquisitions, private equity, collective investment funds, structured investment products, regulatory compliance, foreign investments and real estate projects in China.

He regularly advises banks in trade finance deals, syndicated facilities, structured loans, PRC real estate finance and related hedging transactions, insolvency proceedings and debt restructurings.

He also helps collective investment funds obtain financial intermediary licences and investment product authorizations from the Securities and Futures Commission in Hong Kong, and helps these funds set up new business structures and joint ventures in China quickly to take advantage of new regulations or pilot schemes.

James also has significant experience assisting private banks in structuring complicated investment products, handling client disputes and dealing with regulators in general regulatory compliance, investigations, disciplinary and enforcement actions in Hong Kong.

Prior to joining Dentons, James practiced law at the Hong Kong and Australian offices of O'Melveny & Myers, Allen & Overy and Deacons. He has also served senior roles in the Hong Kong and London offices of a top global hedge fund and a renowned Swiss private bank.

He has written a book on bankruptcy in China for Butterworths.


  • Represented major investment banks, property developers and investment funds in their acquisitions of various prime real estate projects in different major cities in China.
  • Represented major investment banks and private equity funds in making, financing and disposing pre-initial public offering (IPO) investments.
  • Represented lead banks/steering committees in insolvent liquidations and related formal and out-of court restructurings of listcos and state-owned enterprises in Hong Kong and China.
  • Advised major investment banks on complicated legal issues related to nonperforming loan investments in China.
  • Represented the liquidator in the famous GITIC and Guang Xin cases in their collections of assets and related legal proceedings in China.
  • Assisted institutional investors in major merger and acquisition deals in Hong Kong, China and overseas countries, and in the related debt and equity financing transactions (including the acquisitions of the largest battery manufacturing plant in China, a natural gas business in Russia and a fast-growing health, beauty and fitness product distributor in Hong Kong).
  • Advised US, Japanese and other overseas listcos on Hong Kong corporate, employment and general legal compliance matters.
  • Represented a famous international hotel group in setting up its hotel membership program and obtaining the related money lenders' licence in Hong Kong.
  • Represented the sponsor and underwriter in the Hong Kong IPO and global offering of the largest knitwear manufacturer in China.
