Eric Chow is a counsel in Dentons' Hong Kong Corporate Finance practice.

Eric's practice focuses on corporate finance transactions, including initial public offerings, secondary offerings, mergers and acquisitions, takeovers, joint ventures, Hong Kong listing rules compliance matters and other commercial transactions. Eric has more than 10 years of experience advising multinational, PRC and Hong Kong-based enterprises and investment banks on a wide range of corporate finance transactions.

Eric was also seconded to Morgan Stanley's legal and compliance department in 2014-15, during which he mainly focused on transactions in the global capital markets/investment banking department. Prior to joining Dentons, Eric practiced law with a leading US law firm in Hong Kong.


Experience

Initial public offerings on the Main Board of the Hong Kong Stock Exchange

  • Morgan Stanley and Credit Suisse: Represented as joint sponsors on the US$322 million global offering and IPO of Zhou Hei Ya International Holdings Company Limited, a casual braised food producer based in Wuhan.
  • Morgan Stanley and Nomura International: Represented as joint bookrunners on the US$172 million global offering and IPO of Honma Golf Limited, a Japanese golf equipment company. This marked the first golf equipment company listing on the Hong Kong Stock Exchange.
  • Bank of Tianjin: Represented the only city commercial bank headquartered in Tianjin on its US$948 million global offering and IPO. BOCI Asia, ABCI Capital and CCB International were the joint sponsors for the listing.
  • BOSC International (Bank of Shanghai): Represented as sole sponsor on the US$15 million global offering and IPO of AP Rentals Holdings Limited, a Hong Kong equipment rental service company.
  • Shenyin Wanguo Capital: Represented as sole sponsor and sole bookrunner on the US$45 million global offering and IPO of Niraku GC Holdings, Inc., a Japanese company that is the fourth largest pachinko hall operator in Japan based on gross pay-in. At the time of listing, it was the second Japanese-incorporated company to obtain a primary listing approval in Hong Kong.
  • Deutsche Bank: Represented as sole sponsor, and together with BOCI Asia as underwriter, on the US$60 million global offering and IPO of Fulum Group Holdings Limited, a leading Chinese restaurant chain in Hong Kong.
  • WH Group Limited: Represented on its US$2.36 billion global offering and IPO. Morgan Stanley and BOCI Asia were the sponsors and underwriters. This transaction marked one of the largest IPOs in Hong Kong in 2014 and was awarded Deal of the Year 2014 by China Business Law Journal. WH Group Limited is the world’s largest pork company, with global leadership across key segments of the industry value chain, including packaged meats, fresh pork and hog production.
  • Crosby Securities: Represented as sole sponsor, and together with Shenyin Wanguo Capital, DBS Asia and Halcyon Securities, on the US$22 million global offering and IPO of Hung Fook Tong Group Holdings Limited, the largest retailer of Chinese herbal drinks, soup and tortoise herbal jelly in Hong Kong.
  • BOCOM International, Macquarie, First Shanghai Securities and GF Securities: Represented as the underwriters on the US$178 million global offering and IPO of Wuzhou International, a Jiangsu-based property developer and a leader in the development and operation of specialized wholesale markets in China.
  • Deutsche Bank: Represented as sole sponsor and underwriter on the US$90 million global offering and IPO of Tsui Wah Holdings Limited, a leading Hong Kong-based restaurant chain.
  • Haitong International, JP Morgan, Credit Suisse, Deutsche Bank, Citigroup and UBS: Represented as joint sponsors, and together with HSBC, Standard Chartered, UBS and Nomura as underwriters, on the US$1.68 billion global offering and IPO of H-shares of Haitong Securities Co. Ltd., the second largest securities firm in China by total assets.

Other equity capital markets transactions

  • CDH Investments: Represented on its US$900 million sale of shares in WH Group. Morgan Stanley was the sole placing agent.
  • CMBI: Represented as the underwriter on a US$1.5 billion rights issue by Fosun International Limited.
  • UBS: Represented as the financial advisor on a US$631 million rights issue by Fosun International Limited.
  • Goldman Sachs, Citigroup and China Merchants Securities: Represented as the sponsors and placement agents in Tonic Industries Holdings Limited’s deemed new listing on the Main Board of the Hong Kong Stock Exchange and the placement of new shares. The transaction involved highly complicated legal and regulatory issues, including a reverse takeover involving a new listing application, a very substantial acquisition and connected transaction for Tonic Industries under the Hong Kong Listing Rules.
  • Haitong International Securities: Represented on its US$150 million rights issue. Haitong International Holdings Limited and HSBC were the underwriters.
  • China Everbright International Limited: Represented on its US$162 million top-up placement in August 2012. JP Morgan was the sole placing agent.
  • Morgan Stanley, CCB International, CICC, CITIC Securities International, Merrill Lynch Hong Kong, Credit Suisse, BOCI Asia, UBS and DBS Bank: Represented as underwriters on the US$9.2 billion rights issue of China Construction Bank Corporation, the second largest bank in the world by market capitalization.
  • Morgan Stanley: Represented as placing agent in relation to a US$100 million sell-down by Warburg Pincus in Intime Retail (Group) Company Limited, a large-scale department store chain in Zhejiang Province, PRC.
  • Morgan Stanley: Represented as placing agent in relation to a US$40 million sell-down by Enerchina Holdings Limited in Towngas China Company Limited, an investment platform within the Towngas Group focusing on piped city-gas projects in the PRC.
  • Morgan Stanley and CICC: Represented as placing agents on a US$492 million offering of new shares in China National Building Material Company Limited, a PRC state-owned construction materials company, on the Hong Kong Stock Exchange.
